In this wide-ranging interview, Gérard Hirigoyen, interviewed by Philippe Gillet, looks back on his career as a teacher-researcher. In particular, he details his research in financial theory, corporate finance and especially on family businesses. He also shares his experiences as director of IAE, president of the agrégation jury and president of a University.

La crise financière de 2008 qui a affecté l’ensemble des marchés boursiers et les scandales comptables et financiers qui l’ont accompagnée ont mis en cause le modèle de gouvernance des entreprises concernées et à travers lui, les dispositifs de contrôle et de régulation du capitalisme contemporain et ont conduit à porter un regard critique sur ces modèles financiers incapables de solutionner les problèmes rencontrés.

De façon plus générale, les critiques ont été adressées à la théorie financière classique dans son ensemble et ont conduit à ébranler ses deux piliers paradigmatiques essentiels, à savoir l’hypothèse de la normalité de rendement des actifs financiers et l’hypothèse d’efficience des marchés et son corollaire 184la rationalité des acteurs. Elles ont remis en cause aussi la vision du monde sous-jacente à l’élaboration de cette modélisation financière.

Gérard Hirigoyen, “Financial theory and modeling. Background and perspectives”

The 2008 financial crisis which affected all stock markets and the accounting and financial scandals which accompanied it called into question the model of governance of the companies concerned and through it, the devices of control and regulation of capitalism contemporary and led to take a critical look of these financial models unable to solve the problems encountered.

More generally, the criticisms where addressed to classical financial theory as a whole and led to undermine its two essential paradigmatic pillars, namely the normal return hypothesis on financial assets and the market efficiency hypothesis and its corollary the rationality of the actors. They also called into question the vision of the world underlying the development of this financial modeling.

Benjamin Coriat et Magali Toro, « Nutri’zaza, la malnutrition et le service du bien commun. Histoire d’une entreprise sociale hybride à “Objet Social Exclusif” »

L’objet de cet article est, à partir d’une réflexion sur le cas de l’entreprise Nutri’zaza, de s’interroger si et dans quelle mesure, certaines innovations institutionnelles en matière de contrat de société – et donc du statut de l’entreprise – peuvent se montrer appropriées à la satisfaction du bien commun. Après avoir rappelé le contexte et les origines du projet, l’entreprise Nutri’zaza et ce qu’elle signifie sont analysés. La conclusion est consacrée aux enseignements qui peuvent être tirés du cas présenté et s’efforce de répondre à la question posée de la relation entre le véhicule que constitue Nutri’zaza et la poursuite du bien commun.

Benjamin Coriat and Magali Toro, “Nutri’zaza, malnutrition, and the service of the common good. The history of a hybrid social enterprise with a ‘sole corporate purpose’”

The purpose of this article is, based on a reflection on the case of the Nutri’zaza company, to examine whether and to what extent certain institutional innovations in the area of the partnership contract – and thus the status of the company – may prove appropriate to the satisfaction of the common good. After recalling the context 185and origins of the project, the Nutri’zaza company and what it means are analysed. The conclusion is devoted to the lessons that can be drawn from the case presented and attempts to answer the question raised about the relationship between the vehicle that Nutri’zaza constitutes and the pursuit of the common good.

Camille Morel, Sebastien Poulain et Cécile Ezvan, « Le territoire et ses ressources, un commun comme un autre ? L’étude de la gouvernance d’une SCIC de développement local dans les Vosges »

Cet article présente une démarche collective autour d’un « bien commun » spécifique : le territoire avec ses composantes géographiques, patrimoniales, sociales, culturelles, économiques. Cette démarche vise à protéger et valoriser le territoire face à de nombreux défis (déclin économique, démographique…). Nous nous interrogeons sur la gouvernance légitime et opérante pour orchestrer la valorisation des activités d’un territoire correspondant aux aspirations de ses habitants. Cet article est le fruit d’une recherche-action, d’entretiens et d’observation participante au sein d’une SCIC à Mirecourt (Vosges).

Camille Morel, Sebastien Poulain and Cécile Ezvan, “Territory and resources, a common like any other? The study of the governance of a local development SCIC in the Vosges region”

This article presents a collective approach around a specific “common good”: the territory with its geographical, heritage, social, cultural and economic components. This approach aims to protect and enhance the territory in the face of numerous challenges (economic and demographic decline, etc.). We are wondering about the legitimate and operational governance to orchestrate the valorisation of the activities of a territory corresponding to the aspirations of its inhabitants. This article is the result of action research, interviews and participant observation within a SCIC in Mirecourt (Vosges).

Gaël Giraud, « Entreprendre en commun. De la révision du Code Civil à la philosophie de l’État »

Par-delà les différents types de capitalisme qui ont émergé ou se sont succédé depuis les années 1950, la réduction du statut de l’entreprise à un 186mécanisme exclusivement au service de l’intérêt immédiat de ses associés a contribué aux crises écologique et sociale actuelles. Pour les surmonter, cet article réfléchit aux conditions sous lesquelles doit pouvoir s’exercer la liberté d’entreprendre. Cela passe par une révision du droit afin de donner davantage de pouvoir aux parties prenantes et par une concertation des États pour en finir avec une optimisation fiscale illégitime. L’article interroge la sacralisation de la propriété privée et tente de repenser la mission des entreprises et de l’État dans les domaines de la monnaie, du travail et des ressources naturelles sous le prisme des communs.

Gaël Giraud, “Entrepreneurship in common. From the revision of the Napoleonic code to the philosophy of the state”

Beyond the different types of capitalism that have emerged or succeeded one another since the 1950s, the reduction of the status of the firm to a mechanism exclusively serving the immediate interest of its associates has contributed to the current ecological and social crises. To overcome them, this article reflects on the conditions under which entrepreneurial freedom should be exercised. This requires a revision of the law in order to give more power to stakeholders and a concerted effort by states to put an end to illegitimate tax optimisation. This article questions the sanctity of private property and attempts to rethink the mission of business and the state in the areas of money, labour and natural resources through the lens of the commons.

Hélène L’Huillier, « Le plastique, d’un mal privé et public à un bien commun ? À partir des expériences de Danone autour du recyclage du plastique »

Face aux enjeux environnementaux liés à la production de plastique et la pollution que cette matière engendre, il peut sembler paradoxal d’aborder le sujet en parlant de bien commun. Cependant, de nombreuses initiatives locales permettent de gérer les déchets plastiques. Ces différents acteurs ne forment pas une communauté aux frontières définies, et sont liés par des rapports de force souvent inégaux.

Nous appliquons aux déchets plastiques l’analyse des communs impliquant trois aspects : une ressource, des règles et un mode de gouvernance.

L’article s’appuie sur des études de cas portant sur des projets de recyclage inclusif au Mexique, en Indonésie, au Brésil et en Argentine menés par Danone dans le cadre de son fonds Ecosystème. Nous complétons l’approche 187des communs par une réflexion sur l’empowerment, individuel et collectif, des chiffonniers concernés par les projets.

Hélène L’Huillier, “Plastic: From private and public issue to common property? Based on a plastic recycling experiment by Danone”

Faced with the environmental issues related to the production of plastics and the pollution that this material causes, it may seem paradoxical to approach the subject by talking about the common good. However, there are many local initiatives to manage plastic waste. These different actors do not form a community with defined borders, and are linked by often unequal power relations.

We apply to plastic waste the analysis of commonalities involving three aspects: a resource, rules and a mode of governance.

The article is based on case studies of inclusive recycling projects in Mexico, Indonesia, Brazil and Argentina carried out by Danone within the framework of its Ecosystem Fund. We complement the community approach with a reflection on the individual and collective empowerment of the ragpickers involved in the projects.
